    I’ve been a member of the California Bar since 1987 and serve as “Virtual General Counsel” to businesses across a wide range of industries—tech, finance, manufacturing, and beyond. For over a decade, I was General Counsel to a diversified financial services holding company and its eight subsidiaries, including a securities broker-dealer. In that role, I managed legal oversight of everything from complex financing transactions and regulatory compliance to the kind of day-to-day documentation that keeps a business running smoothly. That meant conducting due diligence, renegotiating contracts, perfecting IP rights, drafting and revising licensing agreements, operating agreements, shareholder agreements, security instruments or, you name it. If it involved ink and risk, it probably crossed my desk. Today, I advise startups, small businesses, and emerging companies on a variety of legal needs, including: • E-commerce and data privacy (yes, even the joy of GDPR) • Licensing agreements (SaaS, MSA/SOWs, SLAs) • Corporate formation, governance, and finance • IP protection and technology transactions • Secured transactions and commercial leases • Domestic and cross-border manufacturing and distribution • Securities compliance and fundraising • M&A and regulatory strategy I’m available for both hourly and fixed-fee projects (on a limited basis), depending on the nature and scope of your legal needs.
