I running a UK LIMITED company and need to get some legal agreements sorted to protect myself. These agreements must be legally valid in all countries. AGREEMENT 1. Non-compete clause/NDA for contracted freelancers / all code sent between us / code/designs I have asked to be made are 100% my property. Freelancer MUST not reproduce or reuse code for any other clients or work for competitors. Why? To avoid code I have paid thousands to be developed to be shared/used by others the freelancer works with. AGREEMENT 2.A For the users who's internet my clients use. I am paying users to run software to share their internet connection (to research fraud claims in certain ip ranges/locations). When I pay these users, they must sign this agreement to state they have given my clients the right to use their internet connection for fraud research purposes. Waving all responsibility of us for any activities our clients conduct via the network. Why? If a hacker poses as a client and signs up with us, they could then potentially carry out a hack/attack from a users internet connection they are sharing on our network - very unlikely but in the event this ever happened I would like to be protected. AGREEMENT 2.B For the clients who shares users internet. They must agree to this to accept all responsibility for everything they do via the shared internet service. The service will only be used for research/fraud prevention purposes. However they are using the service to check the content of link/link safety for the clients website userbase. AGREEMENT 3. Running a private software solution. Want users to sign an agreement that prevents them from sharing data or images from the software publicly on the web. The software must remain private at all costs. AGREEMENT 4. Company ownership. I would like to help some startup businesses in exchange for partial company ownership / revenue split of all future profits. What additional document/signage do I need here? (are they different if agreements made via company vs. me personally?) Terms of service+ privacy policies also required for these services. This gives a general overview of the areas I am trying to protect myself against. In addition to this, do these contracts need to be hand signed/in person/with witness? or is electronic 'I agree' OK?
