We are selling a beverage product. We have advanced past the embryonic stage where we are just in stores with modest sales. We have a doctor that wants to be part of the business and want advice an equity that would be fair and help creating an equity plan tied to deliverables. So you get "X" equity and we expect "Y" deliverables. I am sure other people have structured stuff like this. No reason to rework the wheel. So we are looking for someone: 1) To take the time to fully understand our business and where we are at 2) With substantial experience in equity splitting to help us make a fair offer to us and them 3) Preferably, with experience to help us create a legal doc to present to this partner. Need to have a contract drafted for my business OrderAndMore.com. We are a online ordering platform primarily for resturant owners. The contract should have 3 different billing plans available: Annual Plan with full payment upfront, Monthly plan with initial set up fee and first month due at signing with a reoccurring monthly charge, and our Risk Free plan with only the set up fee due at signing, a small monthly hosting fee, and a percent of orders generated with the platform. Contract should be legal and binding and should require a 30 day written cancellation notice for termination. Contract should authorize automatic billing to the credit card listed for monthly ongoing charges.

I am starting a company creating a product that would be manufactured in China and needs to protect my global business interests. I would need a Non-disclosure/Non-use/Non-circumvention agreement enforceable in a China court for use with our manufacturers and potential suppliers in China. It needs to be written with reference to Chinese law (and court system) and at a minimum provide us with protection from the following 3 angles: 1. Prevent the distribution of our IP to 3rd parties. (Such as Alibaba, Aliexpress, Amazon or Ebay for example) 2. Prevent a supplier from using our IP for any purpose other than manufacturing the product in question for us (and only us). In order to restrict the supplier from engaging in copy-cat production – and becoming our competitor in the process. The Chinese company agrees not to use the information (idea, concept, or product) in competition with me, the disclosing party. 3. Disclosure is specifically prohibited within the group (in case the company I am dealing with has group of other companies). 4. Prevent a supplier from selling direct to our clients. It will need to be written in English (for me) and Chinese (for my supplier) and we will need to be able to make slight edits (such as changing the suppliers name in English and Chinese) so we can re-use the document (for the same product) but for different suppliers. This is a start up venture so am looking to do this as cheaply as possible but protect my design as best as I can with limited means.
