Need someone who can work in Washington DC Superior Court to defend a threatened lawsuit. Plaintiff will be a condo HOA. Defendant will be the developer (my company). There is a $60k bond at issue and these types of suits are often advanced as a means of extorting funds (settlement) to avoid the cost of litigation. Need to find a cost effective solution to fight the litigation and perhaps advance a counterclaim. I had a Client Contract Template that I used to use for a Marketing Agency I worked with and now that I'm doing Salesforce Consulting, I wanted to adapt the contract for my new company. I have a simple Land Installment contract signed by a close friend's fiance, who will reimburse me for the costs but I will agree to be responsible to pay the attorney who provides a proposal and is selected by me to perform this job. It is a relatively simple Land Installment contract and I believe that my friend's fiance is being severely taken advantage of by the terms of this contract, but while I am quite familiar with interpreting and negotiating contracts, I have never before dealt with a Land Installment contract specifically and I would like to be sure that I am advising my friend correctly and would like him to know what options he and his fiance have as far as breaking the contract and moving out (they really cannot afford the condominium they are in) and I would also like to help him understand what the consequences are in the event that they would attempt to break the contract. Equally as important, I am surprised that some of the terms of this agreement would actually be legally enforceable and I am hoping that we can identify key components that overstep the boundaries of the law so that their position can be improved and it can either be renegotiated or terminated, but again, not knowing what exactly all the consequences would be if they were to break the contract, I feel an attorney knowledgeable about Land Installment contracts is needed to review this. Depending on the outcome of this review, additional assistance may be requested by the attorney selected for this job, to assist my friend and his fiance in negotiating and/or breaking the contract (they would of course have to move out in such a case). Unfortunately I was not consulted about this agreement before it was signed, or I'd have advised my friend's fiance not to sign it before we were to negotiate the terms of the agreement, since my sense is that this contract is horribly in favor of the vendor / landlord. I am very hopeful that key provisions written in favor of the vendor are not enforceable in court, but I don't know and need legal advice.
