Introduction to the job: We are a Russian company and we are ready to debut in the US and Europe. Our online platform educates users on film and filmmaking and provides opportunities to pitch their work. We are looking for a lawyer who can thoughtfully analyze the needs of our company, communicate with us and draft a TOS agreement. Attached is a Word file containing a document. This document is a translation of the Russian TOS. The Russian original was created by a reliable and professional lawyer specifically for our company (in the comments section of the Word file referred to as Lawyer1). However, TOS for US & Europe are drafted differently. The document includes comments and concerns expressed by our company and another lawyer (in the comments section of the Word file referred to as Rodriguez or Lawyer 2) who specializes in the US contract law and who consulted our company about this TOS document. The address of our website (the one this TOS will be governing) is included at the top of the document attached. Who&what we are looking for: We need a specialist with a good understanding of intellectual property regulations and experience in creating TOS agreements, who will consider the concerns expressed in the offered document (!), but will draft a better and complete version of TOS for our company suited for operation in the United States; a US licensed lawyer who stands by their work. You do not have to respond to us about the concerns expressed in regards to the current version of the TOS, you just need to be conscious of those concerns when creating your version of the TOS. Develop a shareholders agreement. We are a small consulting company based in Hong Kong. The agreement should cover standard terms and should be written in a way that is clear and understandable. Knowledge of Hong Kong law is not required. Not too much legal jargon. The employees will be given 5% shares each. The shares will be non-voting shares. We will need to include a clause for what happens if they leave / want to sell the shares. Also terms for drag and tag. Rights and obligations of shareholders. I am clear about the answers to most those questions but need to have it written in an appropriate document. I would imagine this will require an initial quite standard draft then maybe 2 further drafts after getting my input. I am happy to work on editing parts that I can edit.
