Develop a shareholders agreement. We are a small consulting company based in Hong Kong. The agreement should cover standard terms and should be written in a way that is clear and understandable. Knowledge of Hong Kong law is not required. Not too much legal jargon. The employees will be given 5% shares each. The shares will be non-voting shares. We will need to include a clause for what happens if they leave / want to sell the shares. Also terms for drag and tag. Rights and obligations of shareholders.
