We need help on having a Supply Agreement Completed. We are a New Zealand Based company and have recently started selling to a distributor in the USA. Our Distributor has created a Contract but is very much in his favour. I need your help in completing this so we are on the right track. We need advice on how best to proceed to make sure we are covered from a legal perspective. We are Selling to a Company Called ATTACHUS who is to be our preffered distributor. With this client he has created a Supply Agreement that is very much one sided and we will need it to be more in our favour. We also need to make sure we are covered legally that would protect us from any potential litigation as well as anything else we are not aware of. Basic ways i would like this contract to read in simple terms is - Defined Product Lines - Targets to be met per month - States that Agreement Applies in - No Competition Products that are similar/Same can be purchased/sold alongside - Distributor to carry all liability (we may need to discuss this or have your advise on). - 6 month forecast to be provided - Pricing as per schedule

I am looking for an experience Mechanical Engineer/3D Drafter to render a 3D drawing from a 2D sketch. The sketch is of a simple screw assembly as shown in the attached file. Please note that the side view of the sketch shows a hole that is located at the interior of the screw. Although the side view shows the hole going through the sidewall of the screw, the hole actually does not do that. The screw's sidewall is not breached in any way. The top view gives a clearer picture of this. You should have a background/degree in mechanical engineering and have a firm understanding of 3D design/modeling standards for engineering projects using software such as Pro E, Solidworks, ACAD, etc. Since you are the expert, I expect that you will know how much this job will cost for you to complete. Please don't ask me to estimate your price for you.

DEAL STRUCTURE: - Asset purchase - Note that total purchase price is $175,000. The remainder of the payments are independent contractor payments, though they are referred to here as earn-out payments. - Payment is made through cash at closing and payment through two earn-outs: A and B. Earn-Outs A and B would both be paid. (They are not options.) - Closing Cash Payment: $250k. Of this amount, $75k is a pre-payment of Earn-Out A's payments, meaning that the first $75k of earn-out accrued under Earn-Out A would not be paid to Robert. The remaining $175k of the initial cash payment is not a pre-payment of earn-out. - Earn-Out A: 12.7% of revenue minus $37k annually for 2 years. Earn out payments are structured as independent contractor compensation. - Earn-Out B: 4.1% of revenue minus $11k annually for 2 years.
