I am looking for a lawyer, maybe law student as well., skilled in contract/corporate law I will need to prepare a contract between my company and a freelancer. He will provide us with a piece of software that we will sell in our country and possibly in other countries as well. We agreed that he would get a fixed commission from every sale and that we would pay the total once a month based on his invoice. The contract should involve such things as: - Definiton of the software - His declaration that he fully owns the software - Exclusivity of the software - he will not be able to sell it elsewhere. We will be the only company that would be able to sell it. By this contract we would own the soft completely - The price of the software, payment rules, etc - Fees if he breaks the contract - The software is not complete yet, so there should be a harmonogram of works and fees if the deadlines are not met - Duration of the contract - it should be sealed indefinitely and there should be a notice period (3 months) It should be around 2-4 pages. Hello, We are looking for legal advise on a patent infringement case. Basically we are a small UK LTD and we sell our products on amazon and ebay. (US and UK) . We imported a product from China early this year and started selling it however several weeks later we received a cease and desist letter from a company who owns a design patent which is part of our product. We have investigated the claim and it seems to be legitimate. Obviously we had to stop selling the product for the time being. We still have over 500 units in stock and if we are able to sell these we may recover approx. 75% of our costs. (around 10-12k). We have not got much money in the company at the moment so we thought that we could risk to carry on selling our entire stock until it runs out. We believe that taking a legal action against us would cost them money than the amount they would be able to claim on us so they might let us to sell out . The question is, what is the worst case scenario in this case? We don’t want to destroy the products and loose the money we invested in.
