As a senior investment banking executive in the Asian region's financial capital, principal mandate focused on the development of Corporate & Project Finance capabilities for fairly greenfield institutions established to serve as an M&A vehicle, on behalf of primarily ASEAN-based, family-owned & controlled conglomerates, for the acquisition of companies in the more developed economies of the Asia-Pacific region & the Western Hemisphere. This start-up environment enabled a comprehensive & proactive involvement in all nuances of the cross-border M&A process, including deal origination, negotiation, due diligence, pro-forma & sovereign risk analyses, legal documentation, regulatory compliance, preparation of Offering/Information Memoranda, Underwriting Agreements, & investor relations.
As a principal provider of financial products & services to emerging enterprises seeking inroads into non-traditional sources of capital, as an alternative to the more conventional intermediate & long-term bank loans, specific operating responsibilities called for the development & implementation of a revenue structure to augment net interest margins with fee-based income from advisory, sub-/underwriting, & syndication transactions, as well as capital gains from carried-interest positions.
Subsequent to Asian-based investment banking engagements, spanning a period of almost 25 years, applied Corporate & Project Finance skills & experience to emerging opportunities in the US markets, specifically in the then-nascent industries of Information Technology (IT), Business Process Outsourcing (BPO), & Telecommunications. Consultancy engagements in these industries led to initiatives as founder/co-founder of firms that would exploit the confluence of these previously divergent technologies, to respond to the global imperatives of such combinations, envisioned to eventually warrant cross-border strategic alliances to enable major players to enhance their domestic operations with a global footprint.
