Legal/Tax Professional–Structure Review and Contracts (Puerto Rico Act 60 and U.S. Real Estate)

Description:
We are seeking a highly qualified legal/tax professional with expertise in Puerto Rico Act 60, U.S. real estate property management law, and cross-border tax structuring. The engagement involves reviewing our multi-entity structure, validating compliance, and identifying any risks or gaps related to licensing, liability, or tax obligations.
This role may lead to ongoing support with contract drafting and documentation.

• Scope of Work / Deliverables:
• - Review & Opinion: Assess and validate multi-entity structure.
• - Compliance & Licensing: Confirm requirements under PR Act 60 and U.S. tax law.
• - Risk Assessment: Identify compliance gaps, liability exposures, and reporting obligations.
• - Tax/Compliance Guidance: Provide clear recommendations for ongoing compliance.
• - Contracts & Documentation: (Possible next phase) Support with drafting property management and related agreements.
• Preferred Skills & Experience:
• - Demonstrated experience with Puerto Rico Act 60 (Incentives Code) clients.
• - Strong knowledge of U.S. tax law (IRC §§ 861, 933, 937; Pub. 570).
• - Background in real estate/property management law (contracts, liability, licensing).
• - Ability to translate complex structures into actionable recommendations.
• - Contract drafting and negotiation experience (preferred).
