Private Equity Consultant / Fund Attorney to Review GP Equity & Term Sheets ($20M Fund)

Overview: We are seeking an experienced private equity consultant, ex-investment banker, or fund formation specialist for a brief project, advisory review. We are finalizing the Management Company (GP) capital structure and term sheets for a $20M closed-end alternative asset vehicle under SEC Regulation D (Rule 506(c). Before submitting our documentation to lead fund counsel, we need an independent expert to review, stress-test, and align our core term sheets with Wall Street and institutional standards. Scope of Work: We need an expert to review all primary drafts and conduct a live working session: Founder Equity & Governance Terms: Review the Founder’s voting control, Class-A GP equity retention, and long-term anti-dilution protections for future fund vintages. Co-Founder / IR Term Sheet: Evaluate a performance-based equity proposal for an incoming Co-Founder / IR lead, ensuring proper milestone triggers, 4-year vesting schedules, and 1-year cliff terms. Seed Investor Term Sheet: Review a hybrid seed capital proposal (bifurcated working capital + Anchor LP allocation) featuring a non-voting GP equity cap and a priority carry waterfall. General Cap Table Check: Ensure the overall GP cap table architecture preserves sufficient equity for future platform scaling and meets family office expectations. Requirements: Proven experience in Private Equity, Venture Capital, Investment Banking, or Fund Formation Law. Deep understanding of GP Management Company structures, priority return waterfalls, vesting schedules, and Rule 506(c) private placements. Ability to review the drafts and schedule a consultation call to determine scope of work and send a proposal.
