M&A Accountant / Transaction Support

About the Role Discreet Mergers is hiring an M&A Accountant to support financial analysis, due diligence, and transaction execution on exclusive off-market deals. Key Responsibilities Analyze historical financials, prepare normalized EBITDA adjustments, and build financial models Support due diligence processes and respond to buyer information requests Assist with valuation analysis and deal structuring Prepare financial summaries and data room materials Review and help interpret financial statements, tax returns, and related documents Collaborate closely with brokers and external advisors throughout the transaction lifecycle Requirements Bachelor’s degree in Accounting, Finance, or related field CPA preferred Prior experience in public accounting, transaction services, or M&A support strongly preferred Advanced Excel and financial modeling skills Strong attention to detail and ability to work with confidential information Excellent written and verbal communication skills What We Offer Competitive compensation, exposure to a wide range of private company transactions, and a collaborative, high-trust environment. Key Responsibilities Draft, review, and negotiate letters of intent, purchase agreements, and related transaction documents Advise on deal structure, risk allocation, and key legal terms Coordinate and support legal due diligence Work closely with brokers, clients, and opposing counsel to advance transactions efficiently Ensure all documentation and processes maintain the highest standards of confidentiality Assist with closing coordination and post-closing matters as needed Requirements JD from an accredited law school and active bar membership in at least one U.S. jurisdiction Significant experience handling private company M&A or business sale transactions Strong drafting and negotiation skills Ability to manage multiple deals simultaneously while maintaining discretion Practical, business-oriented approach to legal issues Experience working with middle-market or lower-middle-market transactions preferred What We Offer Competitive compensation, interesting deal flow, and the opportunity to work on confidential transactions in a focused advisory environment.
