US Attorney for AI Data MSA, SOW and DPA

We are seeking an experienced U.S. commercial attorney to review, redline, and help finalize a commercial agreement for the collection and non-exclusive licensing of audio and video conversational data used for AI development. The agreement is approximately 30 pages and includes an MSA, a Services Order, and a DPA. It is governed by Washington law and provides for exclusive jurisdiction in Seattle. The counterparty has requested specific inline revisions using Microsoft Word tracked changes. This is not a one-time issue spotting review. We need support through completion of the agreement. Scope: 1. Review the agreement and our existing business comments. 2. Prepare a detailed tracked changes redline and a clean copy. 3. Provide a short written summary of key risks, recommended positions, and practical fallback positions. 4. Review and respond to at least two rounds of counterparty revisions. 5. Perform a final consistency and signature readiness review across the MSA, Services Order, and DPA. Key issues include non-exclusive data rights, purchase and volume commitments, staged payments, acceptance and rejection procedures, termination, liability, indemnity, data protection, participant consent, subcontractors, biometric and personal data, and the use of AI tools for machine-generated transcripts. Required qualifications: 1. Active U.S. bar membership. Please provide the state, bar number, and current status. 2. Experience with commercial technology agreements, including MSAs, SOWs, licensing agreements, and DPAs. 3. Experience with AI, data licensing, privacy, biometric data, or digital media rights. 4. Ability to advise on Washington law. Washington bar admission is strongly preferred. 5. Strong Microsoft Word tracked changes skills. 6. Ability to provide the initial redline within two business days. The engagement will be handled asynchronously through Upwork messages and Word documents. No kickoff meeting is required. Before receiving the counterparty name or documents, the selected attorney must complete a conflict check and confirm confidentiality. The counterparty name and agreement will not be shared publicly. Please propose a fixed fee for the complete scope, preferably divided into two milestones: 1. Initial review, redline, clean copy, and risk summary. 2. Two negotiation rounds and final signature readiness review. Target budget: 2,500 USD. We are open to reasonable proposals from highly qualified attorneys.
