## Bankruptcy & Business Restructuring Legal Counsel Xanh Entertainment Inc. / EscapeSquid™ is seeking experienced legal counsel to advise on a potential business opportunity involving companies operating under **Chapter 11 bankruptcy and restructuring**. **Responsibilities:** * Advise on Chapter 11 and Subchapter V restructuring matters. * Review potential partnerships, asset purchases, licensing arrangements, and transactions involving distressed businesses. * Conduct legal due diligence on bankruptcy proceedings, contracts, leases, and material liabilities. * Advise on bankruptcy-court approval requirements and transaction structure. * Draft/review LOIs, agreements, and appropriate bankruptcy protections. * Help structure transactions to limit successor-liability and creditor risks. **Preferred Experience:** Attorney with significant U.S. bankruptcy, restructuring, distressed M&A, or Chapter 11 transactional experience. Experience representing buyers, investors, or strategic partners dealing with franchise businesses is preferred. **Engagement:** Initial consultation with potential ongoing outside-counsel engagement.
