Business Formation and Trademark Attorney

We are seeking an experienced business attorney licensed in Delaware to assist with the revival of an existing Delaware C-Corporation (File #2052381, originally incorporated 1985, voided 1989 for tax delinquency) and related formation and trademark work. Scope of work: 1. Delaware C-Corp Revival — File Certificate of Revival, pay back taxes (~$525), and simultaneously file an Amended Certificate of Incorporation to increase authorized shares beyond the original 3,000. 2. Shareholder Agreement — Draft agreement for 6 partners with the following structure: one partner at 30%, two at 15%, three at 10%, and 10% reserved for future investors. Two shareholders are foreign nationals who will hold shares through non-U.S. entities. Must address vesting, right of first refusal, exit provisions, board representation for entity shareholders, and IP ownership. 3. Corporate Formation Documents — Bylaws, officer elections, share issuance, and W-8BEN-E documentation for foreign entity shareholders. 4. Trademark Registration — File a new U.S. trademark application via USPTO for a brand name with no current conflicting marks. Filing should designate the revived Delaware C-Corporation as owner. Please submit a flat-fee proposal covering all four items. USPTO filing fees, back taxes and other filing fees are not included in your fee but will be paid separately by the client.
