I'm the physician-founder and sole member of a New Jersey single-member LLC (research company, currently a disregarded entity). I need a U.S. CPA or EA for a defined cleanup-and-setup engagement with a hard decision deadline of ~September 5, 2026. The company is the petitioner on my O-1 work visa, so the compensation structure must support bona fide W-2 employment; you'd coordinate on specific points with my immigration attorney (they handle immigration — you handle tax). Scope: Entity classification: Confirm Form 8832 C-corporation election as the correct path for W-2 owner-employment from a beneficiary-owned SMLLC; select the effective date (75-day retroactivity available); advise on the deemed-incorporation step and prepare/review the 8832 for filing. Flag: the entity has a prior history of corrected returns (2022–2023 corrected to partnership form after invalid S-corp-style documents) — the election must be chosen with that history in view. Payroll setup: Stand up compliant payroll (Gusto) for one employee at $80,000/year, semi-monthly ($3,333.33/check); NJ employer registrations; correct work-location setup. Reconciliation of prior payroll: W-2s were issued for 2023 and 2024 (2024 shows $1,666.67) while the entity's classification and my owner status make that treatment questionable; determine corrections (941/941-X, W-2c, state filings) vs. leave-and-document, with a short written reconciliation memo. Owner compensation history: From mid-2024, compensation came via foreign affiliate payments under (and preceding) a written intercompany payroll-funding agreement. Characterize per contemporaneous records; determine my 2024–2025 Form 1040 impact (I'm likely a U.S. tax resident under substantial presence for those years — please confirm the determination from my day counts), amended returns if needed, and FBAR/FATCA review. Going-forward compliance calendar: 1120 + NJ CBT obligations post-election; estimated taxes; quarterly payroll filings. You should have: CPA or EA credential (please state license/PTIN status); hands-on Form 8832/entity-classification experience; multi-year payroll correction experience; cross-border experience with Korea–U.S. income and foreign-account reporting strongly preferred; availability for a kickoff call within 3–4 days.
