California Business Attorney – Review LLC Operating Agreement & Promissory Note

I'm a minority member (25%) and the full-time operator of a California limited liability company (formed 2025). I need an experienced business attorney to review two documents before I sign them: 1. A promissory note (~$50,000) documenting a loan from a related company to the LLC — covers principal, deferral period, interest rate, amortization, default terms, and personal-guarantee language. 2. A working draft of the LLC's operating agreement — covers member ownership percentages, capital contributions, a guaranteed payment to the managing member, management/signing authority, and a proposed mechanism for ownership percentages to change over time. Scope of work: • Review both documents (provided at engagement, along with a short written background summary) • Answer a prioritized list of specific questions I'll provide (signing authority under the LLC's management structure, tax-characterization risk, and recommended language) • Provide a written or verbal summary of key risks and suggested edits This is a fixed-fee engagement capped at approximately 2 hours of your time. Please confirm your hourly rate and whether this scope fits within that budget, or propose an alternate fixed price. Requirements: • Active law license in California (the LLC is formed in CA and both documents are governed by CA law) • Experience with LLC operating agreements, promissory notes/commercial loans, and small business or partnership matters • Comfortable working from a written background summary with a single follow-up call or written Q&A — no in-person meeting required
