Consumer Finance Regulatory & Licensing Advisor – Multi-State Lending Structure

We are seeking an experienced consumer finance regulatory and licensing professional to advise us on the formation, structure, and licensing of a U.S.-based consumer finance company. This is a project-based advisory engagement, not a permanent or full-time position. Scope of Work We need an experienced professional who can advise us on: The appropriate corporate/entity structure for a consumer finance business, including LLC, corporation, subsidiaries, and/or holding-company structures. Structuring the relationship between an existing retail operating company and a separate financing company. Ownership and management considerations where the ultimate beneficial owner may be a non-U.S. citizen/non-U.S. resident. State-specific consumer lending and financing licensing requirements. Determining whether transactions should be structured as direct consumer loans, retail installment/credit sales, assignment of receivables, or another compliant structure. Identifying which entity should originate, purchase, service, and/or collect the consumer receivables. Guidance on licensing requirements, applications, surety bonds, minimum net worth/capital requirements, responsible persons, and regulatory examinations. Initially navigating licensing and compliance requirements in Texas and Oklahoma, with the expectation of expanding into additional U.S. states. Advising on potential bank-partnership/rent-a-bank models versus state-by-state licensing as the business grows. Reviewing proposed loan/financing economics, including interest rates, fees, merchant discount rates, down payments, and other charges from a regulatory perspective. Creating a practical roadmap for expanding the financing program into additional states. Initial Regulatory Areas We are currently evaluating requirements involving: Texas Texas OCCC Chapter 342 regulated lending, including Subchapter E Retail installment/credit-sale structures where applicable Oklahoma Oklahoma Department of Consumer Credit Oklahoma Uniform Consumer Credit Code (UCCC) Supervised Lender licensing Consumer credit sales/assignment structures Foreign ownership and lawful-presence considerations Ideal Background We are specifically looking for someone with substantial experience in one or more of the following: U.S. consumer finance law State lending licenses Consumer installment lending Retail installment contracts / consumer credit sales Texas OCCC licensing Oklahoma UCCC / OKDOCC licensing Multi-state lender licensing Fintech regulatory compliance Bank partnership / loan origination structures Consumer receivables and servicing State interest-rate and fee limitations Experience working with non-U.S. founders or foreign-owned U.S. lending companies would be particularly valuable. This role could be appropriate for a consumer finance attorney, former state regulator, compliance consultant, or senior licensing professional with direct industry experience. Engagement The initial engagement will involve reviewing our proposed business model, understanding the existing corporate structure, and recommending the most appropriate structure before we begin filing additional licensing applications. We are looking for someone who can provide strategic guidance, not simply prepare and submit licensing paperwork. If the initial engagement is successful, we may continue working together as we expand licensing into additional states.
