UK Corporate Solicitor for MBO Advisory

We need a UK-qualified solicitor or corporate tax advisor for a Management Buyout (MBO) involving the transfer of shares in a UK Private Limited Company. Transaction Overview Current shareholding: Majority Shareholder 93%, Minority Shareholder 3.5% Proposed deal: 93% shareholding transferred to two buyers via an earn-out structure Existing majority shareholder retains 3.5% post-completion Target completion: 4–6 weeks Parties Involved (all non-UK residents) Seller: British citizen, based in Thailand Buyer 1: Indian citizen, based in India Buyer 2: Filipino citizen, based in the Philippines Scope of Work Share transfer process and documentation Tax implications for each party per their jurisdiction (UK, Thailand, India, Philippines) Tax-efficient earn-out structuring UK Stamp Duty obligations Companies House filings and Companies Act 2006 compliance Implications of non-resident directors/shareholders Coordination with client's existing solicitor as needed Ideal Candidate SRA-regulated UK solicitor or UK corporate tax advisor with MBO/share transfer experience Strong knowledge of Companies Act 2006, HMRC tax rules (CGT, Stamp Duty, non-resident taxation), and Companies House procedures Cross-border/multi-jurisdiction transaction experience strongly preferred Location Requirement Must be based in, or licensed to practise in, the UK (required for regulatory/compliance work). International tax specialists (India, Thailand, Philippines) may also apply to support the UK lead advisor.
