Delaware C-Corp Founder Stock Grant — RSPA + Board Consent

Early-stage Delaware C-corp on Stripe Atlas standard documents. We need a US corporate attorney to paper one founder stock issuance: a block of common stock to an existing co-founder moving from advisory to full-time. We want your view on which route to take, then execution of it: A. Draw the shares from an existing board-reserved pool. Board consent only. B. Issue new shares and amend the certificate to increase authorized shares, preserving the pool and leaving headroom for hires before our next round. Board consent, stockholder consent, Delaware filing. Deliverables: board consent, approving the grant and recording the board's FMV determination; restricted stock purchase agreement package mirroring our existing founder form (RSPA with exhibits, joint escrow instructions, stock assignment, certificate); plus the amendment and stockholder consent if we choose B. Our original documents will be provided: this is replication of an existing form, not drafting from scratch. No equity incentive plan has been adopted; two-director board. We've raised a small pre-seed on post-money SAFEs, no priced round. We want your judgment on two things: whether issuing at par holds up, given this completes the original founder allocation rather than being a new compensatory grant; and whether cash is cleaner consideration than the IP assignment our existing form uses, since the purchaser already assigned once. Not in scope: 409A valuation, employment agreements, non-US tax advice. Requirements: US bar admission, demonstrable Delaware corporate / startup equity experience. Fee and timeline: signed within 2–3 weeks. Quote a fixed fee for the base package, with the amendment priced separately as an option. In your first message include your bar number and state, and one example of a restricted stock issuance you've papered for a Delaware C-corp. Follow-on corporate work likely.
