Independent Board Manager (Part-Time) — Biotech LLC | Paid Governance

I need someone who helps decide the annual research plan and budget in a New Jersey biotech startup developing molecular testing, contracts between the company and other entities I own, and a short written annual review of the company's research performance - governance . Your independent judgment on those specific matters is the entire job. The role. A real but limited fiduciary seat under the NJ LLC Act: review and approve the annual research plan and budget, approve contracts between the company and affiliated entities I own (I recuse — your vote is the approval), and complete a short annual review of research performance. If you can read a research pipeline with genuine interest — or want to learn the science behind it — this seat rewards that. No operations, no fundraising, no authority over my CEO role (the documents say so expressly). Know before replying: (1) It's a genuine fiduciary role — with written scope, full indemnification and advancement, and the right to resign immediately if ever asked to approve something you believe untrue. (2) The company's records support government filings, including immigration petitions; an agency could contact a Manager to verify governance. The only expectation is truthful answers. If that doesn't sit well, this isn't your engagement. Terms. Paid onboarding review of the corporate records (fixed fee or your rate), then ~2–4 hours per quarter by email/video, with an annual honorarium. Independence required: no ownership, employment, or family ties to me or my companies; prior relationships disclosed. Timeline. Seating by early September 2026.
