Legal Counsel / Healthcare Attorney – Contract Specialist (California Law & Telepsychiatry)

Job Description Orbit Health is a premier telepsychiatry organization dedicated to clinical excellence and regulatory integrity within the State of California. We are seeking a highly credentialed, detail-oriented Healthcare Attorney / Legal Specialist with expert-level knowledge of California healthcare law to manage and ensure the rigorous oversight of our contract lifecycle and compliance frameworks. This critical role maintains a strategic focus on two core pillars: the continuous optimization and structural hardening of internal foundational templates, and the execution of comprehensive risk analysis and proactive redlining on all external agreements. Key Responsibilities - Internal Contract Review & Optimization: Review, refine, and modernize our internal contract templates, including Independent - Contractor Agreements (ICAs), Master Services Agreements (MSAs), and clinical service contracts. - External Contract Review & Risk Mitigation: Perform exhaustive legal reviews of third-party contracts, identifying potential liabilities, outlining critical risk issues, and providing authoritative redlines and strategic guidance to safeguard the organization's interests. - Healthcare & Telepsychiatry Compliance: Ensure all agreements align with California healthcare regulations, telepsychiatry guidelines, HIPAA/privacy standards, and corporate practice of medicine (CPOM) considerations. - Strategic Legal Guidance: Deliver precise, actionable legal executive summaries of complex contract terms to empower leadership with the necessary insights for informed, compliant decision-making. Required Qualifications & Experience Preferred Qualifications - Governmental Contracting: Extensive experience managing and negotiating contracts specifically with California county behavioral health departments or other relevant government agencies. - Bar Admission: Active license to practice law in California (must be an expert in California law). - Healthcare / Telehealth Focus: Substantial experience in healthcare law, ideally involving telemedicine, telepsychiatry, or clinical staffing. - Contract Expertise: Proven track record drafting, negotiating, and updating ICAs, MSAs, BAA (Business Associate Agreements), and vendor contracts. - Compliance Knowledge: Deep understanding of HIPAA, California privacy rules, medical provider independent contractor classification (AB 5 considerations), and healthcare contracting nuances. - Communication: Ability to explain complex legal issues in clear, practical language for executive decision-makers. Project Details - Engagement Type: Ongoing / Flexible (starts with initial template overhaul, followed by recurring ad-hoc external contract reviews). Location: Remote (Must be CA-focused).
