Legal Professional Required – LLP to Private Limited Conversion

We are looking for an experienced Company Secretary / Corporate Legal Professional to assist with LLP compliance, conversion to Private Limited Company, and pre-seed investment documentation. Scope of Work: 1. LLP Compliance * Review and complete all pending LLP compliances and ROC filings * Annual filings and Partner KYC, wherever applicable * Compliance status report with any penalties/defaults 2. LLP to Private Limited Conversion * Complete conversion process from LLP to Private Limited Company * ROC filings and statutory documentation * Share capital setup and related legal formalities 3. Investment Documentation * CCPS Agreement * Partner's Capital Contribution Declaration * Other legal documents required for upcoming pre-seed fundraising 4. Existing Registrations & Impact * Advise on the impact of conversion on Bank Account, PAN, TAN, GST (already surrendered), DPIIT Startup Recognition and other registrations * Clarify what will continue, what needs to be updated, and what needs to be reapplied for Requirements: * Experience with LLP to Private Limited conversion * Strong knowledge of Companies Act, LLP Act and ROC compliances * Experience with startup fundraising and CCPS documentation * Ability to handle the assignment end-to-end Please share your professional fee, expected timeline, and relevant experience with similar assignments.
