US Managing Director & Corporate Governance Officer

We are an established international SaaS and digital marketing firm generating over $150,000 USD in baseline monthly volume. As part of our corporate expansion in the United States, we are establishing dedicated US operational oversight and corporate governance. The Role: We are seeking a reliable, US-based executive or corporate officer to serve as our US Managing Director / Authorized Corporate Officer. This is a fractional, part-time governance role requiring minimal weekly time commitment (~2 to 4 hours per month). Key Responsibilities: Corporate Representative: Serve as the designated US corporate officer on behalf of our US corporate entity (Delaware LLC). Vendor & Gateway Compliance: Act as our authorized signatory for corporate compliance, banking documentation, and payment gateway/processor applications (e.g., merchant account underwriting, NMI, Authorize.net). Identity & Verification Checks: Complete standard Know-Your-Customer (KYC) identity verifications (e.g., live video verification, proof of address) required by financial institutions and merchant acquirers. Governance Oversight: Review and sign official corporate resolutions, officer certificates, and administrative filings under the direction of the primary business owners. Candidate Requirements: Must be a legal U.S. resident with a clean background and active U.S. address. Must be comfortable performing standard video KYC verification checks for financial institutions holding government ID/utility documentation. Prior experience as a Fractional COO, Corporate Officer, or Governance Director for international entities is highly preferred. Strong responsiveness via email/Upwork messages when signatures or verification calls are requested. Compensation: Fixed Monthly Retainer of $1,500 – $2,000 / month (paid on the 1st of every month via Upwork contract escrow).
