ABOUT THE ROLE We are seeking a PROCUREMENT CONTRACT ANALYST with a paralegal background to support Lenox Park Solutions on a fractional, independent-contractor basis. As our enterprise client base grows, so does the volume and complexity of the agreements that come with it — and the company needs dedicated, experienced support to assess its contracting approach and to manage client agreements through their full lifecycle. Reporting to the Office of the Chief Executive Officer and working closely with finance and outside counsel, this engagement gives Lenox Park a single, knowledgeable point of accountability for contract strategy and execution that it has not previously had in-house. The work spans two related mandates. The first is strategic: assessing our current contracting posture and helping consolidate a fragmented set of legacy agreements — today spanning multiple inconsistent templates, liability-cap conventions, governing-law choices, and renewal mechanics — into a clean, standardized architecture. The second is operational: managing client agreements going forward and bringing the existing portfolio into alignment at each renewal. Because Lenox Park sells software on a subscription basis, much of this work centers on software-as-a-service (SaaS) contracting — master subscription agreements and order forms, click-through terms of service for self-service tiers, data-processing and information-security addenda, and service-level terms — frequently on the paper of large corporate enterprises and public pension agencies, whose procurement, audit, and public-sector requirements demand particular care. RESPONSIBILITIES & QUALIFICATIONS As Procurement Contract Analyst, you will help consolidate Lenox Park’s legacy agreements into a two-track contract architecture — a negotiated master subscription agreement with a short order form for enterprise and institutional clients, and standardized click-through terms of service for self-service subscription tiers — supported by a government procurement supplement and a data-processing addendum. You will review, redline, and help negotiate these agreements; manage vendor and supplier contracts, including reviewing commercial terms, coordinating procurement activities, and supporting negotiations related to pricing, service levels, renewals, and risk allocation; harmonize data-rights, liability-cap, indemnification, and governing-law provisions across the portfolio; track committed terms, auto-renewal and escalation dates, cancellation-notice windows, and other post-signature obligations; migrate existing clients onto standardized terms at each renewal; maintain an organized, audit-ready contract repository that can withstand corporate diligence; and coordinate with finance and outside counsel on privacy, data-protection, and public-sector compliance matters. You will work under the direction of the company and its counsel and will not provide legal advice or practice law. The qualifications below are what we are looking for in a candidate: SaaS contracting expertise. Substantial experience drafting and negotiating software-as-a-service agreements — master subscription agreements, order forms, click-through terms of service, and data-processing and information-security addenda — from intake through execution, renewal, and auto-renewal. Enterprise and public-sector experience. A proven track record administering contracts with large corporate enterprises and public pension agencies, with working familiarity of public-sector procurement statutes, standard government riders, and audit requirements. Portfolio standardization and data rights. Experience consolidating fragmented contract templates into standardized forms and harmonizing data-rights, intellectual-property, liability-cap, indemnification, and governing-law provisions across an existing book of business. Obligation tracking and diligence readiness. Disciplined management of a contract repository and renewal and obligation calendar, with the rigor to keep records clean and complete enough to withstand investor or audit diligence. Paralegal background and discretion. Formal paralegal training or certification and meaningful commercial-contracting experience, with the judgment to escalate novel or high-risk issues to counsel and the discretion to handle sensitive client and commercial information confidentially as a fractional contractor.
