Startup Tax Counsel for SaaS C-Corp QSBS, Founder Stock & Angel Investor Readiness

Summary

We are an early-stage SaaS / lead-generation company preparing our entity, ownership, founder stock, IP, and angel-financing structure before outside investment. We need a remote QSBS / IRC Section 1202 tax expert with direct U.S. federal tax experience. U.S.-licensed attorneys, CPAs, CPA/JDs, or integrated legal-tax teams are preferred. Non-U.S.-based candidates may apply only if they have credible U.S. QSBS / startup C-corp tax experience and can clearly identify what should be coordinated with U.S. counsel. This is a paid, capped-scope review - not a request for free legal or tax analysis. We need help with four things: 1. QSBS / IRC 1202 eligibility Pressure-test whether our planned SaaS / lead-generation business model can support QSBS treatment, including any risks from financial-services-adjacent revenue. 2. Entity and tax structure Advise on the cleanest path for C-corp structuring, LLC-to-C-corp conversion, HoldCo / product-line separation, California to Utah tax issues, and timing before appreciation or angel investment. 3. Founder stock, IP, and trust planning Identify key issues around founder stock, vesting, 83(b), contractor-created IP assignment, and founder/family-trust ownership planning. 4. Angel investor readiness Flag tax/entity issues before early angel investment, including possible non-U.S. investor coordination for inbound funding, treaty documentation, withholding, reporting, and exit/distribution considerations. Preferred first step: We will provide a short written company brief before the initial paid call. We would like to begin with a capped review that includes a paid 1–2 hour call and either a concise issue-spotting memo or implementation roadmap. In your proposal, please briefly share: 1. Your direct QSBS / IRC 1202 experience 2. Your credentials: attorney, CPA, CPA/JD, or legal-tax team 3. Any relevant SaaS, marketplace, lead-generation, fintech-adjacent, or regulated-data experience 4. Your recommended paid first step and estimated cost range Please do not apply if your experience is limited to general bookkeeping, basic tax preparation, ordinary LLC formation, or generic startup advice.
