Startup/Venture Attorney Needed to Review Two SAFEs + Warrant

# SAFE + Warrant Legal Review I am an investor in an early stage company and am looking for a U.S.-licensed attorney with startup, venture financing, and securities experience to review a small financing package before I sign. The investment consists of two SAFEs with different valuation caps, plus a possible warrant and/or side letter. My goal is to make sure I do not miss anything that could materially hurt my economics, ownership, or rights later, and to identify the strongest reasonable investor position I should request before signing. I am looking for a focused review of the documents, specifically: * pre-money vs. post-money SAFE structure * expected ownership and dilution economics * pro rata rights * MFN rights * warrant terms * capitalization and conversion provisions * treatment upon a sale or other liquidity event * any unusual or materially company-favorable provisions * any issues created by having two SAFEs with different valuation caps * any other provisions or missing protections that could materially disadvantage me later The deliverable should include: * a concise summary of any material concerns * anything that could materially reduce my ownership, economics, or rights later * recommended changes or additional investor protections * the strongest reasonable position I should request * a prioritized list of what is worth negotiating versus what is standard and not worth pushing on * a specific proposed ask to company counsel for each material issue, including suggested language where useful **Quick turnaround required: ideally within 12 hours of receiving the documents. Please only apply if you can meet that timeline.** There is some urgency because the investments were agreed previously but the SAFE documents were not finalized at the time, and the financing is now moving forward. Must be an actively licensed U.S. attorney with meaningful experience reviewing SAFEs, warrants, and venture financings. This is intended to be a limited, efficient review rather than a full financing engagement.
