Title: Teleradiology Healthcare Attorney for Contract Review We are looking for an experienced U.S. healthcare attorney to review three contracts for a U.S. teleradiology company providing remote radiology interpretation services to hospitals, imaging centers, and other healthcare organizations. Relevant teleradiology and healthcare contracting experience is required. We are specifically looking for an attorney with experience in: - Teleradiology and radiology services agreements - Hospital and imaging center contracts - Physician and professional services agreements - HIPAA and Business Associate Agreements - Healthcare regulatory compliance - Medical malpractice and professional liability - Physician credentialing and licensing - Allocation of clinical and operational responsibilities - Critical findings and communication requirements - Turnaround time and service level commitments - PACS and RIS integrations - PHI and healthcare data security - Indemnification and limitation of liability - Insurance requirements - Multi-state healthcare services We currently have three agreements that need to be reviewed. The objective is to identify provisions that expose the company to unnecessary legal, financial, regulatory, clinical, or operational risk and determine what should be changed before the agreements are signed or used. The review should identify: - High-risk provisions - Unusually broad or uncapped liability - Indemnification obligations - Missing protections for the company - Insurance requirements - HIPAA and PHI obligations - Healthcare regulatory concerns - Credentialing and licensing responsibilities - Responsibilities between the facility, teleradiology company, and interpreting radiologists - Service levels and turnaround commitments - Termination rights - Payment and collection risks - Intellectual property and technology provisions - Confidentiality and data security requirements - Governing law and dispute resolution - Provisions that are unusual or unfavorable compared with standard teleradiology agreements We are not looking for a general contract review. We need someone who understands teleradiology and healthcare contracting and can advise us on what is customary in the industry, where the company is taking unnecessary risk, and what should be negotiated. For material issues, we would like a clear explanation of the risk together with recommended contract language or redlines.
