Summary

I need help drafting a written agreement/contract that will serve as an official agreement between my product design firm and our clients that the intital signed contract has been fulfilled and client is satisfied with the deliverables, that any future requests of work would incur additional charges that would be agreed upon in a new services agreement, that payment has been received in full and that the IP rights are formally being transferred to the client. I also want to have a statement that company is not liable for anything that the customer does with the work that we have provded. This would match the initial limitation of liability that they sign in the initial services agreement when they hire us. Benefits of Combining Agreements Efficiency: It streamlines the process by having one set of signatures instead of two. Conditional Trigger: It allows for the IP to transfer officially while giving the client comfort that they will own the deliverables. Certainty: It provides a "clean break" document that clearly defines the end of the project and the transition of ownership. Key Components of a Combined Agreement A combined document should include the following essential elements: Acknowledgement of Completion: A statement that all contracted deliverables have been received and accepted by the client. Final Payment Confirmation: A statement that final payment has been received Assignment of IP Rights: Explicit language transferring "all right, title, and interest" to the client. Statement that company is not liable for anything that the customer does with the work. What will this document be used for?: Agreeing that the intital signed contract has been fulfilled, that payment has been received in full and that the IP rights are formally being trasferred to the client as well as limit liability. I can provide the initial contract the customer is signing when they hire us if that is helpful.
