We are seeking advanced estate, trust, tax, and charitable-planning counsel to advise a founder family before private-company equity materially appreciates or outside investment is finalized. This is not a basic living-trust project. We need a senior attorney who understands founder stock, QSBS coordination, trust timing, state residency planning, charitable gifts of appreciated business interests, and family governance. Remote is fine. U.S. estate, gift, trust, tax, and founder-equity experience is required. California tax/domicile awareness is strongly preferred. The planning context includes: 1. Founder stock and family ownership We need guidance on founder/family ownership, grantor vs. non-grantor trust options, voting/control issues, vesting or repurchase rights, asset protection, and timing before appreciation. 2. QSBS / IRC 1202 coordination Separate corporate/QSBS counsel may advise on entity eligibility. This role needs to coordinate trust and estate planning with QSBS timing, original issuance, holding periods, California nonconformity, and potential liquidity planning. 3. Multistate residency and domicile planning The family is currently California-based and may later consider a genuine relocation to Utah and/or Texas. We do not want aggressive paper-only planning. We want counsel who can explain what must be legally and factually true before relying on any domicile or state-tax position. 4. Charitable legacy planning If a future liquidity event occurs, the family hopes to dedicate a substantial portion of proceeds to charitable missions involving animal welfare, youth mentorship/life-skills work, and private Christian school support. We need advice on whether to use direct gifts, donor-advised funds, private foundations, charitable trusts, public charities, restricted gifts, or separate structures. Initial paid engagement: We prefer to begin with a paid 1-2 hour review call after sharing a short confidential brief. If there is a fit, the first capped phase would likely be a written roadmap covering: * Immediate decisions before equity appreciates * Trust and ownership options * QSBS coordination issues * California / Utah / Texas domicile considerations * Charitable-vehicle options * Specialist coordination needs * Recommended implementation sequence We are not asking for free legal analysis in the proposal. We are looking for relevant experience, judgment, and a clear path to a paid first phase. Please briefly answer: 1. Have you advised startup founders before a meaningful appreciation or liquidity event? 2. What is your experience coordinating estate/trust planning with QSBS or private-company stock? 3. Have you handled California domicile/residency planning or multistate relocation planning? 4. Have you advised on pre-liquidity charitable gifts, DAFs, private foundations, public charities, or charitable trusts? 5. What would you recommend as the paid first step, and what cost range would you expect for a capped roadmap? Please do not apply if your practice is limited to basic wills, standard revocable living trusts, or template estate-plan packages. We need sophisticated founder, trust, tax, residency, and charitable-planning judgment.
