OVERVIEW We are an active buy-side non profit group focused on small to lower-middle market business acquisitions (Entrepreneurship Through Acquisition / ETA). Our target transactions typically range in deal size from $500,000 to $5,000,000. State: North Carolina We are looking for a practical, detail-oriented, and cost-effective transactional business acquisition / M&A attorney to work with us on an ongoing, project-by-project basis. As we source and evaluate deals, we need a reliable legal partner to draft, review, and negotiate transaction documents safely and efficiently. SCOPE OF WORK For our transactions, you will be responsible for: 1. Preliminary Documents: Reviewing NDAs (Non-Disclosure Agreements) and drafting/reviewing buy-side LOIs (Letters of Intent). 2. Definitive Agreements: Drafting, reviewing, and negotiating Asset Purchase Agreements (APAs) or Stock Purchase Agreements (SPAs). 3. Ancillary Agreements: Creating or reviewing Promissory Notes (for seller financing), Employment/Consulting transitions, Non-Compete Agreements, and Corporate Resolutions. 4. Legal Due Diligence: Reviewing target commercial leases, key customer/vendor agreements, and identifying latent transaction liabilities. 5. Closing Coordination: Assisting with loan requirement matches (SBA compliance where applicable) and verifying clean transfer of asset title. REQUIREMENTS 1. Credentials: Active state law license in North Carolina that is in good standing with extensive experience in corporate transactions, M&A, or business buyouts. 2. ETA/Micro-Cap Experience: Proven track record working with ETA searchers, independent sponsors, or self-funded buyers on transactions in the $500k to $5M range. 3. Deal-Oriented Approach: Practical business judgment to protect our fundamental interests without over-negotiating standard boilerplate clauses that delay closures. 4. Cost-Effective & Responsive: Capability to offer reasonable structures (flat project fees preferred) with dependable, deal-speed turnarounds.
