Build a demo-grade Contract Lifecycle Management (CLM) prototype — from an existing, detailed specification. We are a tech startup building a CLM, a contract management system designed from the ground up . Our core thesis: contracts are structured data first, and the document is a rendered view of that data — not the other way around. You will build the complete Phase 1a prototype: a working end-to-end demo used to win a paid pilot with a large enterprise customer. This is not a production system — it runs on a single VM with local auth and synthetic data — but the demo must run reliably end-to-end. What you'll build (full scope, start to finish): 1. Customer-facing Partner Portal - Account creation with KYC verification against synthetic master data - Contract repository showing each contract's current state - Guided wizards: New Contract Request, Continue Draft, Change Request — producing generated PDFs - In-portal e-signature 2. Internal Portal - Live contract repository over ~1,000 synthetic contracts (must stay performant) - The centerpiece: an in-browser legal document editor with embedded tables, reusable complex clauses carrying structured terms from a clause library, automated legal formatting (numbering, cross-references, defined terms). Document JSON is the source for the document; structured terms live in relational tables referencing document nodes by stable ID. - Guardrail validation: contract terms checked against approved strategy at authoring time - Attachments, Knowledge Base management, and an eight-role authorization model (full role-action matrix provided) - One scripted mass-amendment demo across 10+ contracts (hardcoded orchestration is fine) 3. AI Contract Assistant (read-only) - Search, Q&A, summarization, and contract comparison over the synthetic dataset - Pluggable LLM provider layer, configurable per feature - Persisted conversation history Tech stack (fixed): Next.js (TypeScript), tRPC, Oracle 26ai FREE. What we provide: full functional specifications for both portals, a complete data model (four spreadsheets), a role-action matrix, wireframes, synthetic test contracts, and a product owner available for fast decisions. You will not be inventing requirements — you'll be translating a well-documented spec into working software. Success criteria (what "done" means): - A customer creates a non-negotiable contract end-to-end in under 5 minutes - An internal user authors a contract using a complex library clause with an embedded table and inherited structured terms - Mass amendment of 10+ contracts demonstrated end-to-end - The full demo runs reliably in under 30 minutes You're a fit if you have: strong Next.js/TypeScript production experience, relational data modeling depth, and comfort integrating LLM APIs. CLM or legal-tech background is a plus, not required.
