We are looking for an experienced Delaware startup corporate attorney to review and finalize a corporate restructuring for an early-stage technology company. We will provide draft corporate documents for your review. We are looking for an attorney to: Review the proposed restructuring for compliance with Delaware corporate law. Review and revise the draft Plan of Liquidation, Board and Shareholder Consents, and stock transfer/distribution documents. Confirm the stock distribution mechanics and resulting cap table. Identify any legal issues or missing documents. Prepare any Delaware-specific filings required to complete the dissolution. Coordinate with our CPA if needed regarding the legal implementation of the approved tax approach.
