US Business Attorney: Operating Agreement + Admit New 50% Member to Wyoming LLC (Foreign Member) I'm the co-founder and operations/marketing lead of a US e-commerce brand structured as a Wyoming LLC. The company is currently held solely by my business partner, and I am not yet on the entity in any form. We're formalizing a clean 50/50 partnership, and I need a corporate attorney to draft the documents that make me a member and govern how we run the company. I'm specifically looking for someone who has drafted US LLC operating agreements involving a foreign (non-US) member before, since I'm based outside the US. This is a defined, fixed-scope engagement and I can move quickly with the right person. Scope of work: Admit me as a 50% member of the existing Wyoming LLC (membership admission / amendment). Draft an operating agreement for a two-member, 50/50 company, including a domain-based decision split (each member has final say over their own area of responsibility) and a buy-sell / "shotgun" provision as the backstop for genuine deadlocks. Handle the assignment of key IP into the LLC. A proprietary product protocol and the brand/trademarks are currently held personally by my partner and need to be owned by the company. Advise me on how I should hold my membership interest as a foreign member (see questions below). My situation: I am based in the UAE (non-US person). I already own a separate single-member Wyoming LLC (currently little to no activity). I am the incoming member with no current ownership, so I want the documents drafted to represent my interests.
