US CPA for SEC Reg CF Financial REVIEW (US GAAP) - Potential for Future Audit

Description: We are launching a Regulation Crowdfunding (Reg CF) raise on Republic for an initial tranche of $600K. To comply with SEC rules, we require an Independent Accountant's Review Report of our financial statements in accordance with US GAAP and AICPA SSARS standards. We plan to scale our raise past $1.235M in the future, meaning we will eventually need to upgrade these to Audited financials. We are looking for a CPA partner who can handle the Review now and the Audit later. Scope of Work: 1. Conduct a Financial Review of our [1 or 2] years of financial statements (Balance Sheet, Income Statement, Statement of Cash Flows, Statement of Stockholders' Equity, and related Notes). Note - we have almost no financial activity for either year. 2. Issue an Independent Accountant's Review Report (providing negative assurance). 3. Ensure all formatting, footnotes, and disclosures meet SEC Reg CF requirements. Requirements to Apply: You must be an actively licensed US CPA. You must be independent of our company (you have not acted as our bookkeeper/accountant). You must be enrolled in the AICPA Peer Review program. You must be qualified and willing to perform a full Audit on these financials in the future if our raise exceeds $1.235M.
