California Attorney — MSO Formation, Delaware Holding Entity & Medical Practice Structuring

We are seeking a California-licensed attorney with experience in healthcare corporate law to assist with the following: 1. Form a Medical Management Company (MSO) in California - Entity formation (LLC or Corp as appropriate) - Draft or review operating agreement / bylaws - Ensure compliance with California's corporate practice of medicine (CPOM) doctrine 2. Form a Delaware Holding Entity - Create a Delaware entity (LLC or Corp) that will serve as the parent/owner of the California MSO - Draft or review operating agreement / bylaws - Register for foreign qualification in California as needed 3. MSO-Practice Structuring - Draft or review the Management Services Agreement (MSA) between the MSO and the medical practice - Advise on compliant fee structures and scope of management services - Ensure the arrangement does not violate California CPOM, fee-splitting, or anti-kickback regulations Requirements: - Must be licensed to practice law in California (State Bar of California) - Demonstrated experience with MSO/medical practice structuring in California - Familiarity with Delaware entity formation - Experience navigating California's corporate practice of medicine doctrine - Ability to draft and review entity formation documents and management services agreements Deliverables: - Formed California MSO entity (filed with CA Secretary of State) - Formed Delaware holding entity (filed with DE Division of Corporations) - Operating agreements / bylaws for both entities - Management Services Agreement (MSA) between MSO and medical practice - Written summary of compliance considerations and recommended structure Please include in your proposal: - Relevant experience with MSO/medical practice structures in California - Whether you have handled similar Delaware parent / California MSO arrangements - Estimated timeline and fee structure (hourly or flat fee for defined scope) - Any questions about the project scope
