California Business Attorney for Legal Documents

I am looking for an experienced California business attorney to represent the seller in an asset sale involving two operating beauty and wellness businesses. This is not a stock sale and not a franchise transfer. The existing franchise agreements will be terminated prior to closing, and the buyers will operate the businesses under their own independent brand. The transaction includes seller financing over approximately 24 months, and I am looking for an attorney who has experience structuring seller-financed business acquisitions and protecting the seller's interests. Scope of Work Draft and/or review the following: Asset Purchase Agreement Promissory Note Security Agreement Personal Guarantee(s) Bill of Sale Closing Checklist Payment Schedule Default, Late Payment, and Acceleration Clauses Advise on any additional documents needed to protect the seller, including whether a UCC-1 Financing Statement or other security filings are appropriate Answer legal questions throughout the transaction and assist through closing, if needed Ideal Experience Please apply only if you have experience with: California business law Asset purchase agreements Seller-financed business sales Commercial contracts Business acquisitions Secured transactions (UCC) Experience representing sellers is strongly preferred.
