California Commercial Contract Attorney - Contract Dispute Advisory (SaaS/MSA) for a UAE company

We are a UAE-based company seeking a California-licensed attorney to advise on an ongoing commercial dispute with a US-based SaaS vendor. Background: We entered into a two-year Master Services Agreement (governed by California law, with disputes referred to San Francisco courts) with a marketing analytics/attribution platform vendor. We disconnected from the service after several months due to the platform failing to deliver core functionality that was represented to us in writing before signing. The vendor disputes this, citing contractual disclaimers and non-refundable payment terms, and has continued to invoice us since disconnection. We have an extensive written record (pre-contract sales emails, onboarding correspondence, and post-dispute correspondence) supporting our position. We are looking for: - Review of the case file (MSA, correspondence, and our response to the vendor) and a candid assessment of our position under California contract law, including misrepresentation/fraudulent inducement principles and enforceability of disclaimer and non-refund clauses against a sophisticated commercial customer. - Advice on realistic exposure if the vendor pursues formal legal action, and practical considerations around enforcement of any California judgment against a foreign (UAE/ADGM) entity. - Availability to advise further as needed, on an ongoing basis if this escalates. We are handling correspondence with the vendor directly for now, so this is about having the right counsel in place and getting your initial read, rather than a fixed one-off engagement.
