Job Title California Contract Attorney – Supply Chain & 3PL SLAs (Retail Compliance & Liability Shift) Job Description We are an established consumer goods brand restructuring our supply chain logistics for large-format, big-box retail distribution. We require a sharp, California-licensed commercial contracts attorney to draft two distinct Service Level Agreements (SLAs) designed to aggressively shift operational and financial liability onto our vendors. Scope of Work You will deliver two master project assets from scratch: Contract 1: 3PL Logistics Service Level Agreement (SLA): A robust agreement governing our third-party logistics provider. This contract must legally extend all retailer-imposed chargebacks, shipping penalties, and fulfillment deductions directly to the 3PL if caused by their operational delays, mislabeling, or routing failures. Contract 2: International Contract Manufacturer SLA: A master agreement tailored for our global manufacturing partners. Utilizing our high sales volume leverage, this document must enforce strict On-Time, In-Full (OTIF) delivery metrics, quality control benchmarks, and automated financial clawbacks for production deficiencies. Required Qualifications Active Member of the State Bar of California with deep expertise in commercial UCC transactions and supply chain litigation. Documented experience drafting high-stakes SLAs specifically tied to retail distribution, logistics routing guides, and chargeback mitigation. High proficiency in structuring clear indemnity and liability transfer clauses. Project Budget & Structure Fixed Budget: $750 total flat fee. Milestone 1 ($375): Delivery of first draft for Contract 1 (3PL SLA) and Contract 2 (Manufacturer SLA). Milestone 2 ($375): Revisions, final legal sign-off, and delivery of execution-ready templates.
