Summary

I run a Colorado software company. We are launching a web product that helps California employers create a required workplace safety document by answering a short questionnaire. Our system assembles the document from pre-written, specialist-reviewed text blocks and delivers a PDF. We never access the customer's systems and we hold no health data. Before we turn on payment, I need an attorney to review the customer-facing contract language we have drafted and answer a focused set of questions. I will provide a single brief that contains the product description, our draft Terms of Service, the per-generation attestation, the footer disclaimer, and the questions, all in one document. What I need reviewed and answered: 1. Whether our product model (software assembles human-written blocks, and the AI only routes and never writes the document) avoids the unauthorized practice of law in California. This is my top question. 2. Whether our click-wrap Terms of Service are enforceable, and what is missing or unenforceable. 3. Whether our limited audit-pass guarantee and our limitation-of-liability cap hold up against a California business customer. 4. Whether our marketing claims and our privacy practices (we collect a name and a work email) create exposure under California law. 5. Whether our Colorado company needs to register to do business in California. This is a review of business terms, disclaimers, and product positioning. It is not a review of the regulatory content of the document itself, which a separate specialist is handling. Deliverables: 1. Redlined or marked-up versions of my draft documents. 2. A short written advisory memo answering the questions above, suitable for me to keep on file. To be considered, please answer the screening questions.
