China Manufacturing & Intellectual Property Lawyer – Reusable NNN & Supplier Protection Package
Worldwide
# China Manufacturing & Intellectual Property Lawyer – Reusable NNN Agreement ## Project Overview I am an Australian inventor developing a premium consumer product that will initially be prototyped and later manufactured in China. Protecting my intellectual property before releasing confidential information to manufacturers is one of the most important stages of my business. I am looking for an experienced lawyer with substantial practical experience in Chinese manufacturing, supplier contracts and intellectual property protection. This is **not** a request for a generic NDA or someone to customise an existing template. I require a professionally drafted, reusable China-specific NNN (Non-Disclosure, Non-Use and Non-Circumvention) Agreement together with supporting documentation that will become my company's standard supplier protection package for all future Chinese manufacturers. Although this project is for a single fixed-price engagement, I hope it will become the beginning of a long-term professional relationship. As my product progresses from prototype to production, I expect to require additional legal assistance with manufacturing agreements, tooling ownership agreements, OEM agreements, supply agreements, distribution agreements and other commercial matters. Quality, practical experience and commercial judgement are far more important to me than simply obtaining the lowest quotation. --- # About My Project My product is a new consumer product that will involve several specialist suppliers over time. These may include: • Prototype manufacturers • Injection moulders • CNC machining companies • Packaging manufacturers • Electronics manufacturers • USB hub manufacturers • Component suppliers Before releasing CAD files, drawings, specifications, branding, manufacturing information and other confidential material, I want to establish a professional legal framework that can be reused with future suppliers. --- # Deliverables Required Please provide: ### 1. Master China NNN Agreement A professionally drafted reusable China-specific NNN Agreement suitable for practical use with Chinese manufacturers. The agreement should be suitable for repeated future use by simply updating supplier information and project details. --- ### 2. Bilingual Version Please provide both: • English • Simplified Chinese --- ### 3. Reusable Format The agreement should require only minimal editing for future suppliers. Ideally only the following should require updating: • Supplier legal name • Chinese legal name • Registered address • Unified Social Credit Code • Project name • Date --- ### 4. Supplier Schedule / Appendix Please include a schedule allowing confidential material supplied to each supplier to be clearly identified. Examples include: • CAD files • STEP files • STL files • Technical drawings • PDF specifications • Photographs • Prototype samples • Branding • Packaging artwork • Pricing information • Manufacturing methods • Software or firmware (future) --- ### 5. User Guide Please include a practical guide explaining: • How to complete the agreement • When it should be used • Company chop requirements • Electronic signatures • Best practice before releasing confidential information --- ### 6. Supplier Verification Checklist Please include a checklist identifying information that should be obtained before signing. --- ### 7. Supplier Information Sheet Please include a simple form recording supplier details. --- ### 8. Manufacturing Legal Roadmap Please recommend which legal agreements should normally be used during future stages of manufacturing. Examples may include: • Manufacturing Agreement • Tooling Ownership Agreement • OEM Agreement • Supply Agreement • Purchase Agreement • Quality Agreement • Distribution Agreement --- ### 9. Risk Guide Please identify the major intellectual property risks typically encountered when working with Chinese manufacturers and your recommendations for reducing those risks. --- ### 10. Recommendations One reason I am engaging an experienced professional is because there may be issues I have not considered. Please recommend any additional protections or improvements you believe would materially strengthen my long-term position. --- # Agreement Requirements The agreement should appropriately address matters including: • Non-Disclosure • Non-Use • Non-Circumvention • Ownership of intellectual property • CAD files • Technical drawings • Prototypes • Manufacturing information • Branding • Packaging • Reverse engineering • Unauthorised subcontracting • Competing products • Unauthorised manufacture • Trademarks • Confidential pricing • Binding affiliates and subcontractors • Chinese law and jurisdiction • Any other provisions you believe are appropriate. --- # About You I am looking for someone who: • Has genuine experience with Chinese manufacturing contracts. • Has practical experience preparing China-specific NNN Agreements. • Understands intellectual property protection. • Can explain legal concepts in plain English. • Is interested in developing a long-term professional relationship. • Is willing to provide practical commercial advice, not simply draft documents. --- # Please Answer the Following Questions 1. How many China-specific NNN Agreements have you personally prepared? 2. Why is a China NNN Agreement different from a standard NDA? 3. What are the three biggest mistakes Western companies make when engaging Chinese manufacturers? 4. What additional protections would you recommend beyond the scope of this project? 5. Have you assisted clients from prototype through to production? 6. How would you verify that I am contracting with the correct Chinese legal entity? 7. Will I own full copyright in the completed documents? 8. Will I be free to reuse the documents with unlimited future suppliers? 9. If you were protecting your own product, what additional safeguards would you implement? 10. Why do you believe you are the right person for this project? --- # Final Comments Please do not submit a proposal if your intention is simply to customise a generic template. I am specifically seeking practical experience with Chinese manufacturing, supplier protection and intellectual property. My objective is not simply to purchase one legal document. I am looking to establish a long-term relationship with a trusted legal adviser who can assist my business as it progresses from prototype development through manufacturing and future international growth. If we work well together, I expect there will be many future opportunities to work together. Thank you for taking the time to read my project. I look forward to reviewing your proposal.
