# Commercial Lawyer Required – Contract Review & Amendment (Australia) ## Overview Good Soul Studio is seeking an Australian commercial lawyer to review, amend and finalise a suite of business agreements relating to our agency operations, supplier relationships and shared workspace arrangements. A significant amount of negotiation has already been completed between the parties, with amendment schedules and drafting instructions prepared. We are now looking for a lawyer to incorporate the agreed changes into clean execution-ready documents and provide any necessary legal drafting support. ## Scope of Work We require assistance with: ### 1. Master Services Agreements (MSAs) Review and update three supplier agreements based on an existing MSA template: * Good Soul × Make Believe Studio * Good Soul × Stone * Good Soul × LV Digital Key amendments have already been agreed and documented, including: * Payment terms * Intellectual Property ownership and licensing * Liability and indemnity limitations * Referral and subcontracting arrangements * White-label and attribution provisions ### 2. Licence to Occupy (Workspace Agreement) Review and amend a Licence to Occupy agreement for our shared creative workspace. Amendments include: * Access and guest policies * Insurance requirements * Dispute resolution procedures * Exit and transition provisions * Shared asset ownership and buyout arrangements * Confidentiality and non-solicitation provisions * Governance and founding member recognition ### 3. Drafting Support Assist with several additional drafting items, including: * After-hours venue access policies * Shared asset valuation provisions * Keyholder registry provisions * Communal NDA clauses * Cross-referencing client ownership definitions ## Deliverables * Clean execution-ready agreements * Marked-up versions showing changes (if practical) * Legal review of drafted provisions * Advice on any issues or risks identified * Final documents suitable for signing ## Ideal Candidate * Australian-qualified commercial lawyer * Experience drafting and reviewing service agreements * Experience with contractor, agency or creative industry agreements * Familiarity with IP ownership and licensing arrangements * Strong contract drafting and negotiation experience ## To Apply Please provide: 1.
