Commercial Real Estate Finance Attorney – Seller Financing & Loan Documentation Hourly Rate: $200/hour Project Overview We are seeking an experienced commercial real estate finance attorney to assist with the structuring and documentation of seller financing for the acquisition of an industrial property. A separate real estate transaction attorney is already handling the purchase and sale transaction. This engagement is focused exclusively on the financing aspects of the acquisition, including seller financing documentation, lender coordination, and capital structure considerations. The transaction is expected to include: * Senior financing from a community bank or bridge lender * Seller financing subordinate to the senior loan * A leaseback to the seller for approximately 50% of the property * Potential future assignment, participation, or transfer of the seller financing position The property is located in South Carolina; however, attorneys do not need to be licensed in South Carolina if they have substantial experience with commercial lending and real estate finance transactions. Scope of Work * Review proposed financing structure * Advise on lender compatibility and financing risk considerations * Draft and negotiate seller financing documents * Coordinate seller financing structure with anticipated senior lender requirements * Prepare and/or review: * Promissory Note * Mortgage, Deed of Trust, or Security Instrument * Security Agreements * UCC Documentation * Subordination Agreements * Intercreditor Agreements * Assignment Provisions * Guaranties (if applicable) * Other financing-related documents required for closing * Advise on provisions that facilitate future assignment, participation, recapitalization, or transfer of the seller financing position Ideal Candidate * 7+ years of commercial lending or real estate finance experience * Significant experience documenting seller-financed transactions * Experience with senior lender and subordinate debt structures * Experience negotiating intercreditor and subordination agreements * Familiarity with bridge lenders, community banks, private lenders, and alternative financing structures * Practical, business-oriented approach to getting transactions closed To Apply Please provide: 1.
