New Zealand Commercial Lawyer Needed, Company Formation and Shareholder Agreements. I am looking for an experienced New Zealand commercial lawyer to assist with setting up a new company. The company will operate in the furnished accommodation and property services sector, including short-term, medium-term and long-term accommodation, property management and related services. There will be two shareholders: New Zealand resident shareholder and sole director, 80% shareholding Overseas investor shareholder, 20% shareholding The arrangement includes: A NZ$1,000 share capital structure A separate NZ$100,000 non-repayable capital contribution from the overseas shareholder A separate NZ$1.9 million interest-free shareholder loan to the company for a future property acquisition Director remuneration and management responsibilities Specific protections around loan repayment, solvency, sale proceeds, shareholder exits and decision-making An intended future purchase of a residential property by the company, subject to all legal, regulatory and overseas investment requirements I require assistance drafting and advising on: Company constitution Shareholder agreement Shareholder loan agreement Capital contribution deed Share subscription documents and initial resolutions Any other documents required to properly establish and protect the company, shareholders and director The full commercial brief will be provided to the successful applicant.
