Corporate Legal/Tax Consultant for DE C-Corp Conversion

Project Overview We are looking for a qualified CPA or Corporate Attorney to provide expert guidance on the tax-optimized transition of an existing NH LLC (which has had investment/business activity) into a Delaware C-Corp. The Goal We need to execute a structural conversion (e.g., statutory conversion, F-reorganization, or asset transfer) while ensuring tax efficiency. Because the entity has active investor history, the entity must be transferred/converted rather than dissolved and re-formed. Scope of Work Review our current NH LLC status and investor activity. Advise on the most tax-efficient method to transition to a Delaware C-Corp. Outline the necessary steps to ensure the transfer is handled correctly to maintain tax continuity and investor compliance. Confirm the specific filing requirements for the conversion. Requirements Proven experience with multi-state entity conversions and Delaware C-Corp transitions. Deep understanding of tax-free reorganizations and state-specific statutory conversions. Ability to provide clear, actionable advice on the most efficient route.
