US Corporate Structure & Entity Advisor — Multi-Entity Holding Group (Delaware)

We are a growing, Delaware-incorporated group of companies spanning technology, operations, and nonprofit sectors. We are looking for an experienced US corporate attorney or legal consultant to advise on our legal entity structure as we scale and formalize our group framework. Background: Our group currently comprises several operating entities under a common founder, including a Delaware holding company, operating subsidiaries, an LLC services entity, and a Delaware nonprofit (501(c)(3) in progress). We have in-house and external legal counsel handling day-to-day drafting and compliance, but need senior advisory input specifically on entity structuring and ownership architecture. What we need advice on: Whether our current holding company and subsidiary structure is optimally set up for liability separation, operational clarity, and investor readiness Entity type analysis — LLC vs. Corp, S-corp eligibility, QSub elections, and implications for our specific structure Ownership chain and inter-company relationship design, including related-party transaction safeguards IP holding and licensing architecture across entities Structuring considerations for the nonprofit subsidiary operating alongside commercial entities under a common founder Identifying any structural gaps or risks in the current setup before we execute formal documentation You should have: Deep expertise in US corporate law, Delaware entity law specifically Hands-on experience advising multi-entity groups, holding company structures, or founder-led businesses undergoing formalization Familiarity with S-corp/LLC tax structuring considerations (we have a CPA; coordination welcome) This is a pure advisory and review engagement to stress-test our structure and flag any gaps before we proceed.
