US Corporate Texas Registered Attorney for Contract Review

We are looking for a licensed US Corporate/Business Attorney to review, finalize, and execute a pre-drafted Intercompany Software Development and Intellectual Property Assignment Agreement. This contract is between a newly formed Texas Corporation and an offshore development entity. The contract has already been extensively drafted internally and includes detailed technical architecture milestones, clear payment terms and comprehensive IP assignment clauses. We need an attorney to ensure it is fully compliant under Texas corporate law. Required Deliverables: Contract Review & Legal Formatting: Review our pre-drafted agreement, clean up any structural or legal language, add any missing part or details required according to law and ensure it represents a bulletproof, arms-length transaction under Texas law. Formal Legal Opinion Letter: Provide a signed formal Legal Opinion Letter on your law firm’s letterhead. The letter must explicitly state that you have reviewed the agreement, that it constitutes a valid, binding commercial obligation under Texas law, and that 100% of the developed technology/IP legally and perpetually vests in the US entity. Candidate Requirements: Must be an actively licensed Attorney in the United States (Please provide your State Bar Number in your proposal—Texas bar is highly preferred). Proven experience with cross-border corporate contracts, intercompany agreements, or corporate structures. Strong communication skills and willingness to provide a clean execution copy ready for Remote Online Notarization (RON).
