## Project Overview We are seeking an experienced Company Secretary (CS), Chartered Accountant (CA), or corporate compliance professional to assist with the regularization and closure of an inactive Indian Private Limited Company under the Ministry of Corporate Affairs (MCA) Companies Compliance Facilitation Scheme, 2026 (CCFS-2026). The company was incorporated in January 2016 and has never conducted business operations. Income Tax Returns have been filed regularly, however annual MCA filings have not been completed since incorporation. The objective is to determine the most efficient path to bring the company into compliance under CCFS-2026 and complete the strike-off process. ## Company Background * Private Limited Company incorporated in January 2016 * Authorized Share Capital: ₹1,00,000 * No revenue-generating business activity since incorporation * Income Tax Returns filed * ADT-1 filed * Incorporation-related filings completed * No annual MCA filings (AOC-4, MGT-7/MGT-7A) completed since incorporation * No director disqualifications * Two active DIN holders remain associated with the company ## Scope of Work ### Phase 1 – Compliance Assessment * Review MCA records and filing history * Confirm company status and eligibility under CCFS-2026 * Identify all pending MCA filings * Determine exact government fees, additional fees, penalties (if any), and applicability of CCFS relief provisions * Provide a written compliance and closure strategy ### Phase 2 – Regularization * Prepare and file all required annual compliance forms as necessary * Prepare financial statements for dormant/no-activity years * Prepare board resolutions and supporting documentation * Coordinate filing of AOC-4 and MGT-7/MGT-7A for all required years * Handle all MCA submissions ### Phase 3 – Strike-Off * Advise on strike-off eligibility * Prepare and file Form STK-2 * Prepare supporting affidavits, indemnity bonds, resolutions, and declarations * Coordinate with ROC through completion of strike-off process * Respond to routine ROC queries if required ## Deliverables 1. Written assessment of compliance status now 2. Detailed fee estimate (government and professional fees separately identified) 3. Filing plan under CCFS-2026 4. Submission of all required MCA forms 5. Strike-off application package 6.
