Read full job post before applying Requirements: Qualified CPA, CFA or financial due diligence experts who have 10+ year’s work experience with global accounting firms such as Big 4 or similar, that specializes in mergers and acquisitions, financial due diligence and quality of earnings Must have worked as Vice President or higher levels responsible for preparing full FDD databook (and not review reports prepared by junior analysts/team members) Expert in GAAP/IFRS/cash and accrual accounting/percentage of completion reports preparing and deducing Advanced English Language skill Good quality undisrupted internet connection Ability to use Zoom/Teams/Google meet Applicant must have completed 10+ FDD databook for US companies, preferably in the construction industry. Full scope (not parts of the FDD as entry level analysts) Responsibilities: Quality of Earnings (Lite and full scope) Financial due diligence (FDD), including financial statements, tax returns, debt schedule, trial balances, journal/ledger entries (backup files or remote access through QuickBooks/Sage/other accounting software) Deliverables: First step is to deliver QofE Lite version and if approved then deliver the Full scope Quality of Earnings report and FDD Databook (NOTE: we do NOT need the powerpoint/pdf report from you) including net working capital assessment, proof of cash, revenue recognition accuracy, CAPEX and Debt schedule, WIPS/Backlogs schedule, job schedule/project management report/overbilling/underbilling, or any other such report essential for ULS to take its investment decision, within agreed upon timeline Time/hours: When assigned a deal, a delivery timeline of 3-4 weeks will be mutually agreed upon, flexible, virtual, and remote hours QofE Lite: 1 week; subject to sell-side providing dataroom, and answering your IRL/Q&A Full FDD/QofE: 3 weeks; subject to sell-side providing dataroom, and answering your IRL/Q&A Ongoing role for multiple deals Compensation: $100 advance deposit $400 per deal completion ($100,000 up to $2,000,000 EBITDA size); with Bonus $1000 or higher $900 per deal completion ($2,000,000 up to $10,000,000 EBITDA size); with Bonus $1500 or higher $500 or more, Discretionary Bonus at successful completion of each deal assigned to you Note: Beginning the role will not mean a deal will be assigned immediately, deal will be assigned as and when an approved deal on LOI is ready for financial due diligence. Each deal due diligence completes in 3-6 months (sometimes up to 12 months for higher than $2,000,000 EBITDA size) Multiple deals will be assigned on an ongoing basis, based on your performance and availability. Each individual deal will be paid same compensation as above Fixed Price scale. Not Negotiable
