Flat-Fee: Draft International NNN Agreement for Cosmetics Manufacturing (US/Mexico)

Bilingual NNN Agreement (US-Mexico) – Cosmetic Formulation & Manufacturing Project Overview We are looking for an experienced contract or intellectual property attorney to draft a robust Non-Disclosure, Non-Use, and Non-Circumvention (NNN) Agreement. We are a US-based brand developing a proprietary, high-performance agave-based hair styling gel line. We need one master legal framework provided in two specific variations to protect our proprietary formulas and supply chain: Variation 1 (Chemist): Tailored for an independent formulation chemist working remotely via Upwork. Focuses on intellectual property (IP) assignment upon payment and non-circumvention. (English) Variation 2 (Manufacturer): Tailored for a physical cosmetic manufacturing facility located in Mexico. Focuses heavily on non-use (preventing them from copying the formula) and non-circumvention (preventing them from bypassing us to source directly from our unique agave suppliers). This version must be bilingual (English/Spanish side-by-side) and enforceable under Mexican law, including a liquidated damages clause. Scope of Work Review project context (agave hair gel formulation and commercial manufacturing in Mexico). Deliver 1 Master NNN Agreement customized into the 2 situational variations described above. Ensure Variation 2 features accurate, legally binding Spanish translation and references proper Mexican jurisdictional frameworks. Provide a brief revision round if any minor tweaks are needed after initial review. Required Qualifications Proven experience drafting international commercial contracts, specifically cross-border agreements between the US and Mexico. Deep understanding of intellectual property protection, trade secrets, and non-circumvention law. Fluency in both English and Spanish with a strong grasp of Mexican legal terminology (highly preferred). Experience in the cosmetics, consumer packaged goods (CPG), or manufacturing industries is a major plus.
