Franchise Disclosure Document (FDD) Legal Review – New Education & AI Franchise System

We are seeking an experienced U.S. franchise attorney or franchise legal consultant to review our Franchise Disclosure Document (FDD) before we move forward with our franchise program. Our company is developing an innovative education and AI-powered platform that combines technology, community engagement, and experiential learning. We have completed an initial draft of our FDD and are looking for an expert review to ensure it is legally sound, commercially practical, and investor/franchisee friendly. Scope of Work The selected professional will: Review the complete Franchise Disclosure Document (FDD) Identify legal issues, inconsistencies, or omissions Recommend improvements to reduce franchisor risk Verify compliance with FTC Franchise Rule requirements Review franchise fees, royalty structure, territory language, training obligations, marketing fund provisions, intellectual property sections, and operational responsibilities Identify clauses that may create unnecessary legal exposure Suggest practical improvements based on current franchise industry best practices Provide written comments and recommendations Participate in one or two video calls to discuss findings Preferred Qualifications Licensed U.S. attorney (preferred) Significant experience reviewing or drafting Franchise Disclosure Documents Experience representing franchisors Familiarity with FTC Franchise Rule and state franchise registration requirements Experience with education, technology, SaaS, retail, or service franchises is a plus Deliverables Annotated FDD with comments Written summary of recommendations Risk assessment highlighting high-, medium-, and low-priority issues Final discussion meeting Please Include When applying, please provide: Years of franchise law experience Number of FDDs drafted or reviewed Industries you've worked with Whether you are a licensed attorney (and state) Examples of franchise systems you've worked on (without violating confidentiality) Your estimated turnaround time
