Intellectual Property Licensing Attorney – Review Existing License Agreement

I am seeking an experienced U.S. attorney with substantial experience in commercial intellectual property licensing agreements. This is not a patent prosecution or trademark filing project. I am looking for strategic legal advice regarding an existing intellectual property licensing agreement before responding to proposed amendments from the licensee. Background Existing intellectual property licensing agreement executed in 2022 The licensee was recently acquired by another company Approximately one year remains before the agreement expires Following the acquisition, the acquiring company's legal department has requested several amendments to the existing agreement I would like an independent legal review before responding Scope of Work Please review: Existing license agreement Recent correspondence Royalty payment history Related communications Then advise me regarding: My rights and obligations under the current agreement Whether the proposed amendments are in my best interest Royalty reporting and accounting obligations Audit rights (if applicable) Assignment of contractual rights following an acquisition Ownership versus administrative access to digital assets Risks associated with accepting or declining proposed amendments Overall negotiation strategy I am not seeking litigation.
